MEMORÁNDUM DE ENTENDIMIENTO (MOU)ACORDADO, POR, Y ENTRE

LA UNIVERSIDAD AUTÓNOMA DE MÉXICOY

LOS INSTITUTOS PARA ESTUDIOS INTERNACIONALES DE SHANGHÁI

La Universidad Nacional Autónoma de México ("UNAM"), a través de su Centro de Estudios China-México ("CECHIMEX"), y los Institutos para Estudios Internacionales de Shanghái ("SIIS" por sus siglasen Inglés), a través de su Departamento de Cooperación Internacional, en lo sucesivo denominados las"Partes"; Ambas partes señalan como sus domicilios legales los siguientes: Por "la UNAM" Piso 9° de laTorre de Rectoria en Ciudad Universitaria, Delegación Coyoacán. México, Distrito Federal. C.P.04510.- Por SIIS' 195 núm. 15, TiaryLu, Shanghái, 20033 China.

ALENTADOS por el deseo de fortalecer los lazos de amistad y cooperación entre las Partes;

CONSCIENTES DE la importancia de fomentar la excelencia académica como medio para el desarrollode las dos sociedades;

ANIMADOS por el deseo de incrementar intercambios académicos entre las dos instituciones;

TENIENDO EN MENTE las estipulaciones del Convenio de Intercambio Cultural acordado, por ; y entre elGobierno de los Estados Unidos Mexicanos y la República Popular de China, el 27 de octubre de 1978;

Han acordado las siguientes disposiciones:

ARTÍCULO IOBJETIVO

El presente Memorándum de Entendimiento (MOU por sus siglas en Inglés) tiene como objetivo sentarlas bases de una relación de cooperación institucional entre las Partes que fomente y promueva lacooperación bilateral en intercambio académico y fomento de la investigación, basado en el respeto yentendimiento mutuo de sus respectivas fortalezas, estructuras organizacionales, mandatos y políticas.

ARTÍCULO IIÁMBITOS DE COOPERACIÓN

Para poder cumplir con los objetivos establecidos en el Artículo I, las Partes emprenderán actividades decooperación en los campos de docencia, investigación y extensión cultural en los que estén de acuerdopor consentimiento mutuo.

ARTÍCULO IIITIPOS DE COOPERACIÓN

Para emprender las actividades de cooperación, las Partes pueden llevar a cabo diferentes tipos decooperación, incluyendo pero no limitándose a:

Intercambio de misiones académicas.Estudios conjuntos, investigación y publicaciones.Seminarios y Talleres.Capacitación.Intercambio de Información.Intercambio de Publicaciones.

g) Cualquier otro definido por medio de un consentimiento mutuo de las partes porescrito.

ARTÍCULO IVACUERDOS DE COOPERACIÓN ESPECÍFICOS

Siempre que las Partes acuerden la ejecución de cualquiera de las actividades contempladas bajo elpresente MOU.. deberán celebrar un Acuerdo de Cooperación Específico el cual. tendrá el carácter deanexo. constituyéndose como parte integral del presente MOU. Cada Acuerdo de CooperaciónEspecifico deberá incluir los aspectos siguientes:

Objetivos.Calendario del plan de ejecución.Distribución de recursos humanos y materiales.Financiamiento.Obligaciones de cada Parte.Difusión de resultados.

g) Cualquier otra información que las Partes consideren conveniente.

ARTÍCULO VFINANCIAMIENTO

Las Partes deberán financiar las actividades establecidas en el presente MOU con los recursosasignados a cada una en sus respectivos presupuestos, de acuerdo con la disponibilidad y asignación desus propios recursos y las disposiciones de sus legislaciones nacionales.

Las Partes podrán. conjuntamente o por separado, identificar financiamiento a través de organizacionesinternacionales, fondos regionales. donantes privados entre otros recursos.

Cada Parte deberá cubrir los gastos generados por su personal durante la implementación de lasactividades establecidas en este MOU.

En caso de que los recursos de las Partes se utilicen en proyectos y actividades de cooperación mutua.deberá aplicarse el principio de reciprocidad.

ARTÍCULO VIMECANISMO DE SEGUIMIENTO

Para poder lograr las mejores condiciones para el desarrollo de las actividades establecidas en elpresente MOU. cada Parte deberá designar una persona responsable del seguimiento de las actividadesarriba mencionadas. A tal fin, "UNAM" designa al Dr. Enrique Dussel Peters, Director del Centro deEstudios China-México (CECHIMEX), mientras que "SIIS - designa al Prof. Chen Dongxiao Responsabledel Departamento de Cooperación Internacional.

ARTÍCULO VIIPROPIEDAD INTELECTUAL

Los derechos de autor en su sentido de propiedad deberá recaer sobre la Parte cuyo personal hayarealizado el trabajo a ser publicado, dando reconocimiento a quienes hayan contribuido a la ejecución dedicho trabajo. Para estos efectos. las Partes deberán tomar en cuenta la legislación aplicable así comotambién convenios Internacionales sobre este asunto que vinculan a los Estados Unidos Mexicanos y laRepública Popular de China.

Publicaciones de varios tipos (libros, panfletos. artículos, trabajos de investigación, páginas web, basesde datos. etc.) así como también coproducciones y su distribución que se puedan producir comoresultado del presente MOU se llevarán a cabo de común acuerdo.

Queda expresamente entendido que ambas Partes podrán utilizar los resultados obtenidos de lasactividades autorizadas por el presente documento para propósitos académicos.

ARTÍCULO VIIIRELACIÓN LABORAL

Ambas Partes acuerdan que el personal asignado por cada una de ellas para llevar a cabo lasactividades de cooperación establecidas en este MOU se entenderá exclusivamente con aquellainstitución empleadora; por tanto. cada institución asume su responsabilidad al respecto, y en ningúncaso deberán las instituciones ser consideradas substitutas o empleadoras responsables.

ARTÍCULO IXLLEGADAS Y SALIDAS DEL PERSONAL

Las Partes deberán buscar la asistencia de sus respectivas autoridades para poder obtener lasinstalaciones necesarias para su llegada, estadía y partida de los participantes que oficialmente tomanparte en las actividades de cooperación derivadas del presente MOU. Estos participantes deberánobedecer las regulaciones migratorias, fiscales, de aduanas, sanitarias y de seguridad nacional vigentesdel país receptor y no deberán llevar a cabo ninguna otra actividad aparte de la que realizarán deacuerdo con el presente MOU o sus Acuerdos de Colaboración Específicos, sin autorización previa delas autoridades competentes del país receptor. Los participantes deberán salir del país en cumplimientocon las leyes y regulaciones de ese país.

ARTÍCULO XRESPONSABILIDAD CIVIL

Queda claramente establecido que las Partes no podrán reclamar por ningún daño que pueda ocurrircomo resultado de eventos inesperados e imprevistos. tales como el paro de labores académicas oadministrativas. Queda entendido que una vez que dicho evento imprevisto haya cesado, las Partesreanudaran las actividades de la forma que se establezcan.

ARTÍCULO XIRESOLUCIÓN DE INTERPRETACIONES Y DISPUTAS

Cualquier conflicto que pueda surgir acerca de la interpretación o aplicación del presente MOU, seresolverá por acuerdo mutuo de las Partes.

ARTÍCULO XIIDISPOSICIONES FINALES

El presente MOU entra en vigor en la fecha de la firma por las Partes y seguirá siendo valido por unperiodo de cinco (5) años.

El presente MOU podrá ser modificado por acuerdo mutuo de las Partes por escrito. Las modificacionesdeberán especificar la fecha en que entraran en vigor.

Cada Parte puede poner fin al presente MOU en cualquier momento con el suministro de una notificaciónpor escrito a la otra Parte con seis (6) meses de antelación de la fecha prevista de terminación.

La terminación anticipada del presente MOU no deberá afectar las acciones en progreso en el momentode dicha terminación, hasta que estas acciones hayan concluido.

EN TESTIMONIO DE LO CUAL los funcionarios debidamente autorizados de las Partes han ejecutado yotorgado un duplicado de este Acuerdo. en chino y español, siendo ambas versiones igualmente validas.este 2012.

THE UNIVERSIDAD NACIONAL AUTÓNOMA DE MÉXICO, MÉXICO,AND

THE SHANGHAI INSTITUTES FOR INTERNATIONAL STUDIES

The Universidad NacionalAutónoma de México ("UNAM"). Mexico. through itsCenter for China-Mexico Studies ("CECHIMEX"), and the Shanghai Institutes forInternational Studies through its International Cooperation Department,hereinafter the "Parties";

ENCOURAGED by the desire of strengthening the bonds of friendship andcooperation between the Parties;

AWARE OF the importance of fostering academic excellence as a means to thedevelopment of both societies;

HEARTENED by the desire of increasing academic exchanges between bothinstitutions:

HAVING IN MIND the stipulations of the Agreement of Cultural Exchange enteredinto by and between the Government of the United Mexican States and thePeople's Republic of China, on October 27 th 1978:

Have agreed upon the following:

ARTICLE IOBJECTIVE

This Memorandum of Understanding (MOU) has as its objective to establish thefoundations of an institutional cooperation relationship between the Partiesthatwould foster and promote the bilateral cooperation on academic exchange and theencouragement of the research. based on the respect and mutual understandingof their respective strengths. organizational structures, mandates and policies.

ARTICLE IIFIELDS OF COOPERATION

In order to accomplish the objective set forth on Article I. the Parties will undertakecooperation activities on the fields of teaching. researching and cultural outreachthat they agree upon by mutual consent.

ARTICLE IIITYPES OF COOPERATION

To undertake their cooperation activities.the Parties may carry out different typesof cooperation, including but not limited to:

Exchange of academicmissions.Joint studies and research.Seminar and workshops.Trainings.Exchange of information.Exchange of publications.

g) Any other to be defined by mutual written consent of the Parties.

ARTICLE IVSPECIFIC COOPERATION AGREEMENTS

Whenever the Parties agree the execution of any of the activities contemplatedunder this MOU. they shall enter into a Specific Cooperation Agreement which, asan Annex, will constitute integral part of this MOU. Each Specific CooperationAgreement shall contain the following aspects:

Objectives.Timetable of execution.Allocation of human and material resources.Funding.Obligations of each Party.Spreading of the results

g) Any other information deemed convenient by the Parties.

ARTICLE VFUNDING

The Parties shall fund the activities set forth in this MOU with the resourcesallocated to each one in their respective budgets, in accordance with theavailability and assignment of its own resources and the provisions of theirnational legislations.

The Parties may, jointly or separately. identify funding through internationalorganizations, regional funds, and private donors among other sources.

Each Party shall cover the expenses generated by its own personnel during thei mplementation of the activities set forth in this MOU.

In case of the Parties' resources are used in mutual cooperation projects andactivities, the principie of reciprocity should be pursued.

ARTICLE VIFOLLOW UP MECHANISM

In order to achieve the best conditions for the developmentof the activitiesestablished in the present MOU. each Party shall designate a person responsibleof the follow up of the abovementioned activities. For this purpose "UNAM"designates the Center for China-Mexico Studies(CECHIMEX), while "SIIS"designates the International Cooperation Department.

ARTICLEVIICOPYRIGHT

The copyright ownership in its proprietary sense shall devolve upon the Partywhose staff shall have carried out the work to be published. giving dueacknowledgment to those who shall have contributed to the execution of saidwork. For these effects, the Parties shall take into account the applicablelegislation as well as the international conventions on the matter which arebinding for the United Mexican States and for the People's Republic of China.

Publications of various kinds (books, pamphlets. articles, research posters, webpages. databases. etc.) as well as co-productions and their distribution that couldbe produced as a result of this MOU will be carried out by common consent.

It is expressly understood that both Parties may use the results obtained from theactivities authorized by the present document for academic purposes.

ARTICLE VIIILABOR RELATIONS

Both Parties agree that the staff assigned by each for the undertaking of thecooperation activities set forth in this MOUis understood to be assignedexclusively by the employing institution: thus, each institution assumes itsresponsibility in this respect, and in no case shall the institutions be consideredsubstitute or liable employers

ARTICLE IXPERSONNEL'S ARRIVALS AND DEPARTURES

The Parties shall seek the assistance of their respective authorities in order toobtain the necessary facilities for the arrival. stay and departure of the participantsthat officially take part in the cooperation activities derived from the present MOU.These participants shall abide by the migratory. fiscal. customs, sanitary andnational security regulations in force in the receiving country and shall not perform

any other activity than the one they will perform in accordance with this MOU or itsSpecific Collaboration Agreements. without the previous authorization of thecompetent authorities of the receiving country. The participants shall leave thereceiving country in compliance with the laws and regulations of that country.

ARTICLE XFORCE MAJEURE

It is clearly stated that the Parties will have no claim for any damages that mightoccur as a result of unexpected. unforeseeable events, such as an academic or9dministrative strike. It is understood that once that the unforeseeable event hasceased, the Parties will resume the activities in the manner that they establish.

ARTICLE XIINTERPRETATION AND DISPUTES RESOLUTIONS

Any conflict that may arise regarding the interpretation or application of this MOL),will be resolved by mutual consent of the Parties

ARTICLE XIIFINAL DISPOSITIONS

This MOU enters into force on the date of its signature by the Parties and shallcontinue in force for a period of five (5) years.

This MOU may be amended by mutual written consent of the Parties. Theamendments shall specify the date they will enter into force.

Either Partymay terminate this MOU at any timeby providing written notification tothe other six (6) months in advance of the intended date of termination.

The early termination of this MOUshall not affect the actions in progress at thetime of the early termination, until these actions are concluded.
