Como mínimo, el 10% del total de las acciones de Prolesur posterior a la emisión, debe haber sido suscrito por los productores. Esto equivale a 729.218 acciones.After the issuance farmers must subscribe at least 10% of the total shares from Prolesur. This is equivalent to 729.218 shares.
Deben haber suscrito a las acciones disponibles un mínimo de 40 productores (no asociaciones), quienes además deben haber firmado el Contrato de Incentivo de Crecimiento.A minimum of 40 farmers must subscribe the available shares (not associations), who must have also signed the Growth Incentive Agreement.
Además, los productores de Prolesur que hayan suscrito acciones deben representar un abastecimiento mínimo anual de 80 MM de litros en forma agregada.In addition, Prolesur’s farmers who have subscribed shares must represent a minimum annual supply of 80 MM liters in aggregate.

Las condiciones antes descritas deberán cumplirse copulativamente y deberán verificarse mediante la suscripción de un Contrato de Promesa para la cesión del derecho de suscripción preferente de Fonterra a los productores y la suscripción y pago de acciones, lo cual deberá tener lugar antes de la Junta Extraordinaria de Accionistas.Fonterra will keep the right to not complete the issuance of shares and declare it void. The General Shareholders Meeting will keep its right to approve or reject the shares issuance. The conditions described above must be fulfilled copulatively and must be verified by signing a Promissory Agreement to the transfer the right of preferential subscription of Fonterra to farmers and the subscription and payment of shares, which must take place before the Extraordinary Meeting of Shareholders.
