• If the customer does not want to invest, AQYLON offers a totally financed solution

• AQYLON and financial partners establish a SPV, either alone or with the customer

• The SPV enters into an IFRIC 4 compliant service contract with the customer

• The SPV has back-to-back contracts with AQYLON to guarantee the performance

• AQYLON and financial partners (and customer if wanted) capitalizes the SPV for the specific projecto Debt from bank could be added to

the financing scheme

• The services payments received at SPV level are split into pure service payments to AQYLON for maintenance work and the finance component for the bank(s) and the equity investors

PPAs (Power Purchase Agreement) most usual period is between 7 to10 years

The price of the electricity purchased by the customer is:

• negotiated over the PPA period

• indexed on the grid price evolution

• usually between 5% and 30% lower that the price from the grid

• Possible monthly threshold fee. Down to 40% of nominal

At the end of the PPA contract, there are 3 possibilities:

• There is no contract renewal : The SPV that owns the equipment, has 6 months

to take back the equipment

• There is a contract renewal : There is a new electricity price and conditions to be

determined for the renewed period (typically 5 years).

• Buyback option : The customer can purchase the equipment at an agreed amount
