    Señores accionistas:

    Tengo el agrado de presentar la Memoria Anual y los estados financieros de COPEINCA correspondientes al año �005.

    En el campo macroeconómico: el PBI registró un incremento del 6.4% (el mayor desde 1997), debido sobre todo a la inversión privada, a la exportación y a un entorno internacional favorable; las exportaciones tu-vieron un crecimiento de 35.3%, producido principalmente en los ámbitos de productos primarios (pesque-ros y mineros principalmente), y también por las exportaciones de manufacturas que crecieron en 6.5%.

    El sector pesquero registró un crecimiento real de �%. Las exportaciones pesqueras crecieron en 18%, al situarse en un total de US$1,303 millones, lo que se traduce en una contribución de 7.5% al total de las exportaciones del país durante el �005. Los precios de la harina y aceite de pescado aumentaron progresi-vamente a lo largo del año: la harina FAQ inició el �005 con un precio de aproximadamente US$550/tm y a fin de año alcanzó los US$640. Por otro lado, la Steam Dried registró un comportamiento similar: su precio se incrementó de US$6�0 a US$700/tm.

    Durante los años �003 y �004, los grupos familiares DC-Holding/Dyer-Coriat y Acero-Holding/Dyer-Osorio-Fernández, accionistas de COPEINCA, tomaron una serie de medidas destinadas a fortalecer la empresa y a alcanzar su desarrollo sostenido. El más importante de ellos, la orientación hacia el gobierno corporativo,

    I am pleased to present you with our �005 Annual Report and financial statements.

    In the macroeconomic field, GDP increased by 6.4% (the largest growth rate since 1997), mainly due to private investment, exports, and favorable international conditions. Exports grew by 35.3%, mainly traceable to primary product exports (basically fishery and mining products) and manufacturing exports that grew by 6.5%.

    The fishery sector showed a growth rate of �%. The fishery exports grew by 18%, reaching US$1,303, which accounted for 7.5% of Peru´s total exports in �005. Fishmeal and fish oil prices climbed steadily throughout the year: FAQ fishmeal from approximately US$550/mt in early �005 reached US$640/mt by year-end. On the other hand, steam-dried fishmeal followed a similar trend: its price went up from US$6�0/mt to US$700/mt.

    During �003 and �004, the DC-Holding/Dyer-Coriat and Acero-Holding/Dyer-Osorio-Fernández family groups, shareholders of COPEINCA, took a series of measures intended to strengthen the company and achieve

    incluyó la elaboración de protocolos familiares, la profesionalización de los cargos gerenciales y directorales, y la creación de diversos comités que ase-guraran la eficiencia en el proceso. Por otro lado, se adquirió y comenzó la implementación del SAP, tecnología alemana de primera línea que potenciará el sistema de información de la compañía.

    Es decir, se inició con mucho entusiasmo una etapa de grandes cambios, en la que se fijaron metas muy ambiciosas y puntuales a corto, mediano y largo plazo. El difícil reto de allí en adelante consiste no solo en alcanzar todas y cada una de esas metas, sino en que se fortalezcan y consoliden. En el año �005 se continuó el proceso de implementación del gobierno corporativo de la compañía, incluyendo en el Directorio a tres profesionales independientes.

    A lo largo del año �005 COPEINCA ha cumplido con lo trazado en este proyecto estratégico, con resultados más que satisfactorios, entre los que podemos resaltar:

    a) Hemos continuado con el proceso de implementación de los principios del buen gobierno corporativo, eje fundamental del proyecto, para lo cual conta-remos, a partir del �006, con el apoyo de la CAF y de IAAG, una empresa de consultoría internacional. Esto constituye una reafirmación de nuestro compromiso de implementar el buen gobierno corporativo y permitir su evaluación periódica.

The most important one, related to corporate governance, included the design of family protocols, the professionalization of management and director positions, and the establishment of several committees to ensure efficiency throughout the process. On the other hand, the company bought and began implementing the SAP program to improve its information technology system supported by state-of-the-art German technology.

    As a result of the above measures, the company enthusiastically entered a new stage that involves great changes and very specific and ambitious short, medium and long-term targets. A difficult challenge lies ahead: the company must not only strive to achieve each and all of its targets, but must also strengthen and consolidate its achievements. Moreover, in �005, the company continued implementing standards of good corporate governance, appointing three independent directors to be part of its Board.

    Throughout �005, COPEINCA met the targets of this strategic project, obtaining more satisfactory results than originally planned, as follows:

    a) We continued to implement good corporate governance, it being the focal point of our project. As from �006, the CAF and the IAAG an international consulting firm will support our efforts in this field, which reaffirms our commitment to implement good corporate governance and allow regular evaluation of performance and outcomes.

  • b) Los comités creados en el año �004, todos ellos integrados por tres o más directores (dentro de los cuales siempre hay dos independientes, uno de los cuales preside), se han reunido sobre la base programada, con agendas claras y seguimiento de sus acuerdos.

    c) Hemos continuado con la implementación de la certificación GMP13 en nuestras plantas, y se ha iniciado la certificación BASC, que ya ha sido conseguida por dos de las plantas (Bayóvar y Chicama).

    d) La implementación del SAP, que fuera iniciada en el �004, y para la cual contamos con el apoyo de IBM y BCTS, concluirá en el mes de abril.

    El año �005 también marcó un hito en el desarrollo de la empresa, a partir de su vinculación con la banca internacional. En el mes de agosto se concretó un préstamo con el Credit Suisse, una de las cinco bancas de inversión más grandes del mundo, por US$31 millones, lo que ha hecho posible adquirir acciones de la empresa pesquera Del Mar. Esta adquisición, entre otras, incluyó tres plantas y una flota pesquera de aproximadamente 4.000 toneladas métricas de capacidad de bodega, con lo cual ha mejorado nuestro posi-cionamiento en el litoral, ya que ahora abarcamos una franja más amplia de éste.

    Las cifras de los estados financieros que presentamos son, por primera vez, consolidadas, ya que incluyen a COPEINCA, Del Mar y Pesca Perú Huarmey. Los resultados financieros se explican entonces en primer lugar,

    por esta incorporación y, adicionalmente, por el hecho de que durante el primer semestre la pesca no se concentró alrededor de las plantas de COPEINCA.

    Podemos afirmar con satisfacción que las bases establecidas durante los dos años anteriores se han con-vertido en un hilo conductor sólido y eficiente que permitirá a la empresa alcanzar e incluso superar los objetivos fijados a largo plazo. Pretendemos que COPEINCA sea una empresa global y abierta a capitales extranjeros y nacionales.

    Del mismo modo, aspectos como la transparencia en nuestras operaciones, la responsabilidad social y el bienestar de colaboradores y accionistas, han sido temas de constante preocupación en nuestra agenda. Prueba de ello es que somos una de las primeras empresas del Perú en emitir un informe de sostenibilidad certificado por PricewaterhouseCoopers.

    Finalmente, no podemos dejar de mencionar que los logros alcanzados por COPEINCA son producto del es-fuerzo, la dedicación y el compromiso del equipo humano que la conforma.

    b) The committees created in �004, made up of three or more directors each (they always include two inde-pendent directors, one of whom presides over the committee), have held their regularly scheduled meetings with clear agendas, and there has been a follow-up of the agreements reached at their meetings.

    c) We continued to obtain GMP13 certification and also began BASC certification. BASC certification has already been obtained for two plants (Bayovar and Chicama).

    d) The implementation of the SAP system, which began in �004 with the support of IBM and BCTS, will be completed in April �006.

    �005 also marked a milestone in the company´s development, as business ties were strengthened with international banks. In August �005, Credit Suisse, one of the five largest investment banks worldwide, granted the company a US$31 million loan that made it possible to buy shares in the fishing company Del Mar. This purchase, among others, included three plants and a fishing fleet with an estimated 4,000 mt hold capacity. As a result, we improved our market share on the coast, as our operations now cover a larger coastal strip.

    This is the first time we present consolidated financial statements, as they include the consolidated results of COPEINCA, Del Mar and Pesca Peru Huarmey. The financial results reflect then, in the first place, the

    aforesaid purchase and, in the second place, the fact that during the first half of �005 fishing operations were not concentrated around COPEINCA´s plants.

    We are pleased to see that the foundations laid over the last two years will allow the company to meet and even exceed its long-term objectives. We intend to turn COPEINCA into a global company open to foreign and national capital.

    Similarly, other aspects like operating transparently, abiding by the principles of corporate social responsibility, and looking after the wellbeing of our employees and shareholders, have permanently been important agenda items. As a result, we are one of the first companies in Peru to issue a sustainability report certified by PricewaterhouseCoopers.

    Finally, I would like to point out that COPEINCA´s achievements are the result of the effort, devotion and commitment of all the members of its workforce.

    I. Entorno Internacional

    El contexto internacional explica en gran parte el buen desempeño de las economías emergentes, como la peruana. En el �005 nuestros principales socios comerciales crecieron 4.3%, y los términos de intercambio mejoraron en 5.�%. Así, el crecimiento fue: en China, de 9.9%; en EE.UU. de 3.5%; en España, de 3.4%; en Alemania, de 0.9%; en Japón, de �.7%.

    La inflación internacional se ha mantenido en niveles menores al 3.4% y en el caso del Japón hubo de-flación en -0.�%.

    2.1. Financial-economic Sector Development

    I. Assessment of the International Situation

    The international situation explains to a large extent the good performance of emerging economies like Peru. In �005, our main business partners grew by 4.3% and, in terms of trade, there was a 5.�% increase. This growth is broken down as follows China, 9.9%; USA, 3.5%; Spain, 3.4%; Germany, 0.9%; and Japan, �.7%.

    International inflation has remained below 3.4% and, in the case of Japan, deflation stood at -0.�%.

  • El precio del petróleo mantuvo una tendencia alcista desde el �004, y cerró el �005 a US$61.04/barril, con un incremento de 40.5% respecto a enero del �005, y en 87.7% respecto a enero del �004.

    II. Entorno Macroeconómico

    El desarrollo de la economía peruana durante el �005 fue positivo respecto a la fortaleza de sus funda-mentos macroeconómicos. El PBI creció 6.4% (el mayor desde 1997), impulsado principalmente por el crecimiento de las exportaciones (35.37%) y la inversión privada (13.9%). Los sectores que más aportaron al PBI fueron: construcción 8.4%, minería e hidrocarburos 8.1%, y manufactura 6.5%; el sector no primario fue el más dinámico: 6.5%.

    II. Assessment of the Macroeconomic Situation

    As regards Peru´s economic performance, �005 was a good year, as evidenced by its macroeconomic indicators. GDP grew by 6.4% in �005 (the largest growth rate since 1997), mainly due to an increase in exports (35.37%) and private investment (13.9%). Construction, mining/hydrocarbons and manufacturing contributed the most to GDP growth, with a share of 8.4%, 8.1% and 6.5% of GDP, respectively. The non-primary sector was the most dynamic one: 6.5%.

    El comportamiento de las tasas de referencia de corto plazo mantuvo una tendencia creciente a lo largo del �005: en el último trimestre la Libor a 3 meses cerró en 4.5%, la tasa de la FED en 4.3% y la tasa del BCRP en 3.�5%. Además se observó que la Libor y la tasa de la FED mantuvieron el mismo comportamiento, en cambio la tasa de referencia del BCRP tuvo un crecimiento menor, por debajo del nivel de las tasas in-ternacionales, lo que generó un diferencial cada vez mayor, que cerró el último trimestre con un spread de 1% respecto a la FED y 1.�5% respecto a la Libor. Ello explica en parte el déficit de la cuenta de capitales por US$69 millones.

    El riesgo país del Perú tuvo un comportamiento de tendencia decreciente homogéneo respecto al de América Latina, pero siempre por debajo del promedio latinoamericano, y alcanzó su nivel más bajo histórico en octubre del �005:134 pb.

    Short-term reference rates showed an upward trend throughout �005; in the last quarter, 3-month Libor closed at 4.5%, while FED and BCRP (Central Reserve Bank of Peru) closed at 4.3% and 3.�5% respectively. Moreover, Libor and FED followed the same trend, while the BCRP reference rate experienced lower growth, below international rates, creating an increasingly higher spread that stood at 1% over FED and 1.�5% over Libor in the last quarter. This explains to a large extent the US$69-million capital account deficit.

    Peru´s country risk rating showed a steady downward trend compared to that of Latin American countries, but always below the Latin American average, reaching its lowest historical level in October �005:134 pb.

  • Las exportaciones se vieron favorecidas por la buena performance del crecimiento mundial, y los beneficios arancelarios del ATPDEA. Más del 8�% del crecimiento de las exportaciones se debe a productos tradicio-nales (40.4%) y no tradicionales (��.9%); la mejora de los términos de intercambio fue la clave de este resultado, pues los precios de nuestros principales productos exportados subieron 16.3% respecto a los importados, que crecieron solo 10.6%.

    Respecto al crecimiento de la inversión privada, éste fue impulsado por el desarrollo de los proyectos mine-ros y la exportación de gas. Los factores que explican este dinamismo son los altos precios de los metales, las bajas tasas de interés, la mejora en los ingresos y el ahorro privado (creció 17.4%), lo que se explica en más del 70% por el crecimiento de las AFP.

    Exports were boosted by international growth and the ATPDEA preferential tariff benefits. Traditional and non-traditional exports account for more than 8�% of export growth (40.4% and ��.9%, respectively). This result was mainly due to better terms of trade, as our main export products experienced a 16.3% price increase over imported products, which only grew by 10.6%.

    Private investment growth was boosted by the development of mining and gas export projects. This growth is explained by high metal prices, low interest rates, and an increase in revenues and private savings (17.4%). The growth experienced by Private Pension Fund Administration Companies (AFPs) accounts for over 70% of these good results.

    En el ámbito de las finanzas públicas, los ingresos fiscales en el �005 crecieron en 16%. La presión tribu-taria alcanzó el 13.6% del PBI, el mayor de los últimos siete años; el déficit fiscal fue de 0.3%, lo cual significa una disminución de 70% respecto al �004 y, por último, el sector público requirió de US$4,653 mi-llones para atender sus necesidades de deuda y déficit fiscal, las mismas que fueron financiadas por deuda interna en 44.6% y deuda externa en 56.5%.

    Con respecto a la dinámica de la balanza de pagos: en cuenta corriente tuvo un superávit de US$1,105 mi-llones; la balanza comercial creció en 75%, arrojando un saldo neto de US$5,�60 millones; y, por último, las RIN mantuvieron su tendencia creciente de 11.6%, al alcanzar niveles de US$14,097 millones. La evolución de los precios registró una relativa estabilidad que contribuyó al dinamismo de la actividad económica: inflación baja, tasas de interés a la baja, tipo de cambio estable en el primer semestre y pre-siones con tendencia al alza en el segundo semestre. La inflación cerró en 1.48%, ligeramente por debajo del rango objetivo del BCR; ésta se debió a la disminución en los precios del arroz, el azúcar, la eliminación del ISC y el arancel al gas licuado de petróleo, y a la sobreproducción de pollo.

    In the public finance field, fiscal revenues grew by 16% in �005. The total national tax burden reached 13.6% of GDP, the highest in the last seven years. The fiscal deficit stood at 0.3%, which represents a 70% reduction over �004 and, finally, the public sector required US$4,653 million to meet its debt and fiscal deficit needs, which were funded by internal (44.6%) and foreign indebtedness (56.5%), respectively.

    Concerning the balance of payments, the current account showed a surplus of US$1,105 million. The balance of trade grew by 75%, producing a net balance of US$5,�60 million; and, finally, Net International Reserves continued their upward trend, climbing 11.6% to US$14,097 million. With regards to the price development, relative stability contributed to boost economic activity: low inflation rates, downward interest rate trends, and stable exchange rates during the first half of the year, followed by upward trends during the second half. Inflation closed at 1.48%, slightly below BCRP´s target, due to a drop in rice and sugar prices, the elimination of ISC (Selective Consumption Tax), import duties on liquefied petroleum gas, and overproduction of chicken.

  • El tipo de cambio registró dos fases claramente diferenciadas entre sí. La primera duró hasta fines de agosto y se mantuvo entre 3.�5 y 3.�6 por dólar; aquí las presiones eran de tipo apreciatorio, pues la balanza co-mercial llegaba a su nivel récord de divisas, la desdolarización interna (mayor confianza en el Nuevo Sol) y las intervenciones del BCR impidieron reducciones en el tipo de cambio. En la segunda etapa se registraron variaciones bruscas en el tipo de cambio debido a operaciones puntuales en el mercado cambiario, a la baja tenencia de dólares por parte de los bancos (proceso de desdolarización), y a tasas de interés de corto plazo en dólares mayores que en soles, que generaron una recomposición en el portafolio de los inversionistas. El tipo de cambio cerró el año en 3.43, depreciándose en 4.5% respecto al año �004.

    La tasa de interés de referencia fue fijada por el BCRP en 3.�5% en diciembre, después de mantenerse por 14 meses en 3%. El incremento de la tasa de referencia del BCRP no impactó en las tasas de mediano y largo plazo, gracias a la abundancia de liquidez del sistema bancario, el riesgo país en niveles mínimos históricos (134 pb. en octubre), y la mayor preferencia del público por soles. Las tasas de interés en dólares, tanto en el corto como en el largo plazo se han mantenido estables, a pesar de que la FED incrementó su tasa de referen-cia. El diferencial (tasa en dólares-tasa en soles) de tasas de corto plazo para el �005 fue de 0.9% mientras que en la de largo plazo fue de 11.6%; ello explica el alto grado de dolarización del sistema financiero.

    III. Evolución del Sector

    El sector pesquero en el �005 contribuyó con el 0.53% del PBI, un incremento del 1.�% con respecto al año anterior.

    En cuanto a las exportaciones, éstas representaron el 9.6% del total de las exportaciones del Perú y pre-sentaron un crecimiento del 17%, principalmente por los mejores precios obtenidos en las exportaciones de harina de pescado, que crecieron en volumen y valor 14% y �0%, respectivamente, con respecto al �004. Las exportaciones de harina y aceite de pescado representaron, en valor, el 71% y 9% del total de exporta-ciones del sector pesca, respectivamente.

    The exchange rate went through two clearly distinct phases. During the first phase, which lasted until late August, the exchange rate remained steady at S/.3.�5 to 3.�6 a dollar. During this stage, appreciatory pressure was exerted on the Nuevo Sol / Dollar exchange rate as the balance of trade reached record foreign currency reserve levels, there was increased confidence in the local currency (de-dollarization), and control was exerted by the Central Reserve Bank of Peru to prevent drops in the exchange rate. During the second stage, there were abrupt changes in the exchange rate due to some exchange market transactions, lower foreign currency reserves by banks (de-dollarization process), and higher US dollar short-term interest rates, which resulted in the restructuring of the investors´ portfolio. The exchange rate stood at S/.3.43 at year-end, 4.5% below �004 figures.

    In December, the Central Reserve Bank fixed the reference interest rate at 3.�5%, after remaining steady at 3% for 14 months. This increase had no impact on medium and long-term rates thanks to abundant liquidity in the banking system, historically low country risk ratings (134 pb. in October), and higher demand for nuevos soles. Both short-term and long-term US-dollar interest rates remained stable despite FED´s rate increase. The short-term and long-term interest rate spread (dollars/nuevos soles) for �005 stood at 0.9% and 11.6%, respectively, which explains the high dollarization of the financial system.

    III. Development of the Fishery Sector

    In �005, the fishery sector accounted for 0.53% of GDP, a 1.�% increase over the previous year.

    Exports accounted for 9.6% of total Peruvian exports and grew by 17%, mainly due to better prices in fishmeal exports, which showed a 14% and �0% growth in terms of volume and value, respectively, with respect to �004. In terms of value, fishmeal and fish oil exports accounted for 71% and 9% of total fishing exports, respectively.

    2.2. Desarrollo y Resultados del Entorno Pesquero

    CapturaEl año �005, igual que el �004, mantuvo el nivel de capturas a lo largo del litoral en un aproximado de 8’650,000 toneladas de anchoveta. La principal diferencia radicó en la distribución de la materia prima, que comenzó el año con fuertes concentraciones de anchoveta en la zona centro-norte, centro, y centro-sur (de Huarmey a Pisco), y con altos porcentajes de pesca juvenil en el norte.

    2.2. Fishery Sector Development and Results

    CatchAs in �004, in �005 the average anchovy catch totaled 8,650,000 tons all along the coast. The main difference lied in fish distribution, as the year began with strong concentrations of anchovy in the central-northern, central and central-southern areas (from Huarmey to Pisco) and high concentrations of juveniles in the northern area.

  • Lo más notorio fue la fuerte actividad registrada en la zona de Pisco, en tanto que la zona de Chicama, en el norte, permaneció casi hasta fin de año con un nivel de actividad muy bajo.

    De igual manera, la zona sur, vale decir al sur del paralelo 16°, tuvo excelente captura, favorecida por una alta actividad orgánica de nutrientes y por las condiciones del mar, producidas por los vientos alisios. Así, luego de un verano también bueno en el año �004, con una captura de 600,000 tm, el de este año superó las proyecciones y pasó la barrera de 1’000,000 de toneladas métricas.

    It is worth highlighting that significant fishing activity was reported in Pisco, while scarce activity was reported in northern Peru, specifically in the Chicama area, almost until year-end.

    Similarly, excellent catch levels were reported in the southern area, to the south of parallel 16°, thanks to high levels of organic nutrients and favorable sea conditions triggered by trade winds. Thus, after a good fishing season during the summer of �004, when catch levels totaled 600,000 mt, the �005 summer fishing season exceeded forecasts, totaling over 1,000,000 mt.

  • También se pudo observar un gran crecimiento en la eficiencia de captura por parte de la flota pesquera, que se evidenció en la segunda temporada de pesca, cuando se capturó �’750,000 tm en 31 días.

    MercadoLa producción de harina de pescado en el Perú tuvo un ligero incremento del �% con respecto al �004, al haber alcanzado los � millones de tm en el �005.

    Sin embargo, la producción de aceite de pescado en el Perú se redujo en 18% con respecto al �004, con un descenso a niveles de �87,000 tm en el �005. Esto, dentro de un contexto mundial en el cual la producción de harina de pescado, en el �005, se redujo a 6 millones de toneladas, una disminución del 5% con respecto al �004 y 7% con respecto al promedio de los últimos 10 años.

    El Perú continúa liderando la producción mundial de harina y aceite de pescado, al contribuir con el 34% y 41% del volumen producido en el �005, respectivamente.

    Asimismo, dentro de los seis principales países productores, Perú lidera las exportaciones de harina y aceite de pescado con más del 60% de la oferta exportable.

    Es así que las exportaciones peruanas de harina de pescado se incrementaron en volumen en 14% con res-pecto al �004, al haber llegado a exportar � millones de toneladas en el �005, principalmente por los altos stocks que se mantuvieron a diciembre de �004, correspondientes a la temporada anterior de pesca.

    El valor unitario se incrementó en +5% de FOB US$ 546/tm a FOB US$ 574/tm dentro del marco de una tendencia alcista de precios que se inició desde 1999, con un buen soporte en los precios de la harina de soya.

    However, fish oil production showed a 18% decline with respect to �004, dropping to �87,000 mt in �005. These figures were obtained within a world context where fishmeal production declined to 6 million tons in �005, which represented a 5% decrease over �004 and a 7% decrease over the annual figures of the last 10 years.

    Peru continues to lead world fishmeal and fish oil production by contributing 34% and 41% of the volumes produced in �005, respectively.

    Moreover, within the six leading producing countries, Peru leads fishmeal and fish oil exports by contributing more than 60% of the export availability supply.

    In this way Peruvian fishmeal exports increased by 14% over �004 in terms of volume, reaching � million tons in �005, mainly due to high stocks kept in December �004, corresponding to the previous fishing season.

    The unit value increased by 5% from FOB US$ 546/mt to FOB US$ 574/mt within the framework of an up-ward price trend that began in 1999, largely supported by soybean meal prices.

    Las perspectivas para el �006 muestran una continuidad en la tendencia alcista de los precios de harina de pescado con un buen soporte en FOB US$ 1000/tm, y en FOB US$ 700/tm en el aceite de pescado. El fundamento de esta subida de precios es la gran demanda insatisfecha debida al rápido crecimiento de la economía china, la pobre pesca en los países escandinavos y el crecimiento sostenido de la acuicultura a nivel mundial.

    Concerning �006 perspectives, fishmeal and fish oil prices may continue an upward trend with a good support of FOB US$ 1000/mt and FOB US$ 700/mt, respectively. This price increase is attributed to an unmet demand due to China’s rapid economic growth, low fishing volumes by Scandinavian Countries, and sustained growth in aquaculture worldwide.

    1.- Rueda de negociaciones de la Misión Europea en el Perú para cooperación bilateral, a solicitud del Ministro de la Producción.-

    Esta misión, conformada por el Embajador y representantes de la UE–Bruselas, sostuvo conversaciones con los representantes de los gremios (SNP y otras asociaciones), de IMARPE, y de ITP, con los siguientes objetivos:

    Reforzar las relaciones de cooperación con el Perú, por ser éste un país con un potencial pesquero in-menso en recursos no explotados (jurel, caballa, atún).

    Buscar oportunidades nuevas de mercados insatisfechos (se expresó: “Nosotros tenemos el mercado y ustedes los recursos”).

    Exigir el cumplimiento de las normas sanitarias, para evitar los problemas que nos ocasionó en el pasado la mala imagen de la harina de pescado y de las exportaciones de moluscos bivalvos.

    Promover la cooperación en la diversificación de la actividad pesquera, ya que, a pesar de ser un país con un mar muy rico, sólo nos concentramos en explotar anchoveta, sin aprovechar otras especies existentes (que deberían tener mayor valor), por falta de capacidad económica, de inversión y de conocimiento en las artes extractivas.

    Mejorar la valorización de los recursos ya existentes o nuevos, creando canales de comercialización económicos, ecológicos, con buen manejo de la seguridad y salud ocupacional etc., exigencias de la CEU, que se traducen en mayores precios. El ejemplo es España, que tiene una alta demanda y maneja un mercado de pescado blanco del 97.�% y de mariscos del 7�%.

    Formar alianzas o joint-ventures con posibilidad de inversiones en industrias con transferencia tec-nológica; el actual embajador español refiere que el Perú, desde los años 80, “perdió el tren” por no tomar decisiones de integración.

    International Forums

    1.- Round of Negotiations held in Peru by the European Mission for Bilateral Cooperation, at the request of the Minister of Production.-

    This mission, made up of EU Ambassador and other EU representatives, held meetings with members of several associations, like the National Fisheries Association (SNP), the Peruvian Institute of the Sea (IMARPE), and the National Fisheries Institute (ITP), in order to:

    Strengthen cooperation with Peru, as there is a vast untapped fishing potential in the country (southern jack mackerel, mackerel, tuna).

    Seek new market opportunities, identifying unsatisfied market needs (“We have the market, you have the resources”).

    Require the fulfillment of sanitary rules to avoid problems like those caused in the past by the bad image of fishmeal and exports of bivalve mollusks.

    Promote cooperation to diversify fisheries because, in spite of the fact that Peruvian waters are enor-mously rich in natural resources, fishing focuses on anchovy, disregarding other existing species (that should have a greater value) due to lack of financial support and investment, including lack of knowledge of fishing methods.

    Improve the value of existing or new resources by creating economical marketing channels, applying ecologically sound methods, and abiding by good safety and occupational health practices, as all these EU requirements result in better prices. For example, Spain, where strong demand exits. In fact, its white fish and seafood market stands at 97.�% and 7�%, respectively.

    Enter into business alliances or joint ventures that contemplate the possibility of investing in industries that involve the transfer of technology. In the opinion of the Spanish ambassador to Peru, in the 80´s Peru let the opportunity go by because it failed to make integration-based decisions.

    2.- Foro internacional acerca del sistema de cuotas de pesca.-

    Se llevó a cabo a finales del año �005 en la sede central del Banco de Crédito. Participaron autoridades representativas del sector, Ministro y Viceministro de Pesquería, Sociedad Nacional de Pesca, asociaciones educativas, ONG´s, representantes de las asociaciones de pescadores artesanales, armadores, etc.

    Expositores de Nueva Zelanda, Islandia y Chile expusieron aquellos modelos en funcionamiento con resul-tados positivos en sus países.

    Las conclusiones de este conversatorio fueron: Que se debía considerar las cuotas pesqueras como una alternativa para mejorar el sistema de orde-

    namiento pesquero, ya que en un esquema de desarrollo económico globalizado tenemos que cuidar el recurso y el medio ambiente.

    Que somos un sector estratégico en la economía global y necesitamos complementar el actual control y vigilancia con nuevas alternativas previamente evaluadas, porque los permisos de pesca NO limitan las capturas.

    2.- International forum on the individual transferible quota.-

    This forum was carried out in late �005 in the premises of “Banco de Crédito del Peru”. Attendants included representative fishery sector authorities, the Minister and Vice Minister of Fisheries, members of the Na-tional Fisheries Association, educational associations, NGOs, artisan fishermen´s associations, shipowners´ associations, etc.

    Guest lecturers from New Zealand, Iceland and Chile gave lectures on the systems being successfully imple-mented in their respective countries.

    Following are the main conclusions drawn at this international forum: Individual catch quotas should be considered an option to improve the fishery management system, as in

    a globalized economic system we must take care of the natural resources and the environment. The fisheries sector is strategic for global economy, so we need to complement current control and su-

    pervisory systems with new options that have already been tested because fishing permits DO NOT limit catches.

    Que este SQIP (sistema de cuotas intransferibles de pesca) debe ser evaluado por todos para ver su apli-cación en el Perú, y cambiar la rentabilidad inmediata por rentabilidad estratégica.

    2.3. Regulaciones del Sector

    Las leyes marco que rigen en el sector pesca son: Ley General de Pesca No �5977 Reglamento de la Ley General de Pesca aprobado por DS No 01�-�001-PE Ley General de Residuos Sólidos No �7314 Ley General del Ambiente No �8611 Otras como la Ley General de Aguas No 1775�, Ley Sistema Nacional de Evaluación del Impacto Ambiental

    No �7446 Decretos leyes (DL), resoluciones directorales (RD) y reglamentos conexos a la actividad.

    Overinvestment currently results in the overcapitalization of fishery resources while the social component is being neglected, for which reason a quota-based management system should be implemented.

    This non-transferable catch quota system must be evaluated by all parties concerned to analyze the possibility of having it implemented in Peru, replacing immediate profitability by strategic profitability.

    2.3. Fishery Sector Regulations

    Following are the legal rules comprising the legal framework governing the fishery sector in Peru: General Fisheries Law No. �5977. Regulation of the General Law of Fishing approved by DS No. 01�-�001-PE General Solid Waste Law No. �7314. General Environmental Law No. �8611. Other laws like the General Water Law No. 1775� and Law No. �7446 governing the National Environmen-

    tal Impact Assessment System. Decree Laws (DLs), Directorial Resolutions (DRs) and fi shery-related regulations.

    LEY DE PESCALas actividades de extracción se rigen por la Ley General de la Pesca (No �5977) y sus normas reglamenta-rias, que promueve el desarrollo sostenible del sector a través de la preservación del medio ambiente y de los recursos del mar. En cuanto a esta ley no ha habido mayores cambios.

    Desde comienzos del año �004 se viene ejecutando por la SGS el control de la descarga en todo el litoral, lo que ha permitido un ordenamiento general del sector. El sistema ha demostrado funcionar excelentemente al anular el tema de la pesca ilegal, reducir por su parte la clonación de naves y sincerar las capacidades de las mismas.

    Asimismo, este año, el Ministerio de la Producción (PRODUCE) publicó en el diario oficial El Peruano, una norma en la cual se daba a conocer oficialmente el ratio de conversión para pasar de metros cúbicos (m3–volumen) a toneladas métricas (ton–peso), usando un factor de 1.0�6 ton/m3.

    También se dio la aplicación de veda puntual en aquellos puertos que mostraban una alta incidencia de elementos juveniles de anchoveta, sobre la base de los reportes recogidos por el IMARPE y el PRODUCE.

    LEY GENERAL DE RESIDUOS SÓLIDOSLa Ley General de Residuos Sólidos (LGRS) y su reglamento, han establecido en el país el marco institucional para la gestión y manejo de los residuos sólidos. Esta ley responde a un enfoque integral y sostenible que vincula la dimensión de la salud, el ambiente y el desarrollo al proceso de reforma del Estado, las políticas públicas y la participación del sector privado.

    DIGESA estuvo a cargo de su implementación en el inicio, pero actualmente será la DINAMA la autoridad que la monitoreará, con la finalidad de contribuir a controlar y minimizar factores de riesgo sanitarios en el ambiente, promover y asegurar entornos ambientales saludables para la protección de la salud, la calidad de vida y el desarrollo humano sostenible.

    GENERAL FISHERIES LAWFishing is regulated by the General Fisheries Law No. �5977 and the Regulations thereunder that promote the sustainable development of the fishery sector through the preservation of the environment and sea resources. No major changes have been introduced to this law.

    Since early �004, SGS has been controlling fish landings all along the coast, which has resulted in an orderly management of the fishery sector. The system has proved to be an excellent tool to eliminate illegal fishing, reduce the “cloning” of vessels, and correct vessel capacity distortions.

    Moreover, in �004 the Ministry of Production (PRODUCE) published a legal rule in the official gazette El Peruano, officially adopting a 1.0�6 ton/m3 conversion factor to convert cubic meters (m3–volume) to metric tons (ton–weight).

    Anchovy fishing was also closed in some specific ports due to the high incidence of juveniles in said areas, based on reports issued by IMARPE and PRODUCE.

    GENERAL SOLID WASTE LAWThe General Solid Waste Law (LGRS) and the Regulations thereunder contain the legal framework governing the handling and management of solid wastes in the country. The LGRS is the result of a comprehensive and sustainable approach that links health, environment and development to the State´s reform, public policies, and private sector participation.

    The General Bureau of Environmental Health (DIGESA) was initially entrusted with the task of enforcing compliance with this Law, but the National Environmental Bureau (DINAMA) is now in charge of monitoring compliance to thus help control and minimize sanitary risks, promote and ensure healthy environments to protect health, quality of life, and sustainable human development.

  • LEY DEL MEDIO AMBIENTELa nueva Ley General del Ambiente fue aprobada por el Congreso de la República en octubre del �005 y se creó para cubrir los vacíos que tenía la Ley Marco del Sistema Nacional de Gestión Ambiental No �8�45.

    La LGA tiene ámbito nacional para todos los sectores, competencias más definidas, y mucha ingerencia del CONAM (Consejo Nacional de Medio Ambiente); reemplaza al Código del Medio Ambiente, precisa estándares y límites y estipula que, si el sector no lo hace, será CONAM el que aplique los límites máximos permisibles (LMP) y los estándares de calidad ambiental (ECA). Esta Ley no será reglamentada. DINAMA trabajará los articulados que comprometan al sector para regular el desempeño ambiental.

    Actualmente seguimos trabajando con LMP y ECA, cuyos valores son de tránsito.

    GENERAL ENVIRONMENTAL LAWIn October �005, Peruvian Congress approved a new Environmental Law to fill the existing loopholes in the National Environmental Management System Law No. �8�45.

    The General Environmental Law applies to all sectors and has defined competencies more clearly. The Na-tional Environmental Council (CONAM) has been afforded a great deal of authority to enforce compliance with this law. This law replaces the Environmental Code, defines standards and limits, and provides that if the relevant sector fails to do it, CONAM will enforce compliance with threshold limit values (TLVs) and environmental quality standards (EQSs). This law will not be regulated. DINAMA will work on the fishery sector regulations to regulate environmental performance.

    We continue abiding by TLVs and EQSs, the values of which are only temporary.

  • 3.1. Cumplimiento de Objetivos 2005

    El plan operacional del �005 logró con creces los objetivos establecidos en el plan estratégico, de consoli-dar en el mediano plazo nuestra participación en el sector pesquero a través de los siguientes logros:

    Adquisición de doce embarcaciones con 4,500 m3. Esto ha incrementado la capacidad de bodega de nues-tra flota a 8,700 m3 en 30 embarcaciones, lo que la convierte en la quinta flota más importante en tamaño del sector (4.�% del total de la flota nacional).

    Adquisición de tres plantas: Paita, Casma y Huarmey. Estas tres plantas nuevas se suman a las dos que ya tenía COPEINCA. La nueva capacidad de planta se incrementó a 55� tm/h, que significa el 6% del total de la capacidad de plantas del país. Es importante destacar que la adquisición de las nuevas plantas nos permite acceder a zonas de pesca más al sur; es decir, abarcar una franja más amplia del litoral. Esto, a su vez, se traduce en una repartición más homogénea de las embarcaciones en diferentes zonas de pesca.

    El crédito por US$31 millones de una entidad de primer nivel como el Credit Suisse, lo cual permitió mejorar el perfil de nuestra deuda y adquirir los activos de flota y plantas antes mencionados. Este crédito,

    3.1. Fulfillment of Year 2005 Objectives

    The �005 operational plan largely met the objectives set out in the strategic plan to consolidate in the medium term our participation in the fishery sector, thanks to the following achievements:

    Purchase of twelve vessels with a hold capacity of 4,500 m3. As a result, the hold capacity of our fleet has been increased to 8,700 m3 with 30 vessels, becoming the fifth largest fleet in the fishery sector (it accounts for 4.�% of the total national fleet).

    Purchase of three new plants, Paita, Casma and Huarmey, in addition to COPEINCA’s other two plants. The company’s plant capacity was thus increased to 55� mt/h, which accounts for 6% of the country’s total plant capacity. It is worth pointing out that with the purchase of these new plants, we are now in a capacity to access fishing areas farther south; that is, cover a larger coastal strip, which is in turn translated into a more homogeneous distribution of vessels in the different fishing areas.

    The US$31 million loan we received from a leading bank, Credit Suisse, which allowed us to improve our debt profile and buy the aforementioned vessels and plants. Due to all the requirements we had to meet in

    Implementación de nuestro ERP SAP con la asesoría de IBM. Este importante proyecto se tiene previsto que culmine en abril del �006.     Asimismo podemos mencionar, como logro importante, la obtención de las certificaciones GMP13 (Good Manufacturing Practice) y BASC (Business Alliance for Secure Commerce) en las plantas Bayóvar y Chicama.

    3.2. Logros Financieros

    Préstamo del Credit Suisse COPEINCA recibió en el año �005 un importante préstamo del Credit Suisse (CS), una de las cinco primeras bancas de inversión del mundo. El monto fue de US$31 millones y sirvió para reestructurar la deuda de la compañía, así como para adquirir las empresas Del Mar S.A. y Pesca Perú Huarmey S.A.

    El crédito tiene un gran significado para COPEINCA y para el sector en general, ya que se trata de una operación de gran magnitud con características acordes a la industria pesquera peruana1, aspectos que lo convierten en un producto financiero innovador.

    Este préstamo tuvo efectos colaterales, tanto en el sector pesquero como en el financiero (éste temía que se repitiera lo sucedido luego del fenómeno El Niño de 1998). Actualmente los bancos tienen otra perspectiva del sector pesquero, sobre todo de aquellas empresas que demuestran un manejo responsable, no solo de las finanzas, sino también de todo su entorno.

    Another important achievement has been the GMP13 (Good Manufacturing Practice) and BASC (Business Alliance for Secure Commerce) certifications obtained by our Bayovar and Chicama plants.

    3.2. Financial Achievements

    Loan from Credit Suisse In �005, COPEINCA obtained a US$31 million loan from Credit Suisse (CS), one of the five largest investment banks worldwide. This loan was used to restructure the company´s debt and buy two companies, Del Mar S.A. and Pesca Peru Huarmey S.A.

    This loan is very important to COPEINCA and the fishery sector in general because it reflects a large-scale financial transaction whose terms and conditions are consistent with Peru´s fishery industry1, for which reason it has become an innovative financial product.

    This loan has had collateral effects upon both the fishery sector and the financial sector (which feared the recurrence of what happened after the El Niño phenomenon in 1998). Banks now have a different perspective of the fishery sector, particularly of fishing companies that apply responsible management practices, not only with regard to the field of finance, but also in respect of all other business areas taken as a whole.

    Condiciones del préstamo.-El plazo del préstamo es de cuatro años más uno de gracia y las cuotas son mensuales; en el quinto año COPEINCA deberá pagar una cuota final equivalente al 30% del saldo de capital.

    Adicionalmente se incluye la “Cláusula del Fenómeno El Niño”, la cual se aplicará cuando la captura de anchoveta sea menor a los 5 millones de toneladas durante un periodo de 1� meses consecutivos; en este caso, se le otorgará a COPEINCA un año de gracia adicional. Este derecho solo podrá ejercerse una vez.

    El contrato contiene una serie de obligaciones que COPEINCA deberá cumplir mientras dure el plazo del préstamo. A continuación se detallan las más importantes:

    Creación de una cuenta colateral en el SunTrust Bank, donde se ingresan directamente las cobranzas por las exportaciones. El SunTrust Bank es responsable de transferir el monto de la cuota mensual a la cuenta del Credit Suisse.

    Creación de un patrimonio en fideicomiso con la empresa La Fiduciaria S.A. como agente fiduciario. Este patrimonio está compuesto por diecinueve embarcaciones pesqueras y cinco plantas industriales.

    Cumplir con informar todo hecho de importancia, tanto en el sector como en la empresa. Cumplir con lo indicado en la relación de “covenants�” afirmativos y negativos. Cumplir con determinados ratios financieros que aseguran la continua mejora de las actividades de la

    empresa. Entregar información trimestral y anual sobre el desempeño de la compañía y el cumplimiento de sus

    obligaciones.

    Reperfilamiento de la deuda.- En setiembre de �005 COPEINCA precanceló deuda, principalmente de corto plazo, por un total de US$8,580 millones, lo cual le permitió cambiar su estructura financiera y pasar de �1% a 16% en el corto plazo y de 79% a 84% en el largo plazo.

    Loan terms and conditions.-The term of the loan is four years plus a one-year grace period, repayable in monthly installments. In the fifth year, COPEINCA must pay a final quota equivalent to 30% of the balance.

    In addition, an “El Niño Phenomenon Clause” has been included in the loan agreement. It provides that if the anchovy catch is less than 5 million tons during 1� consecutive months, then COPEINCA will be afforded an additional one-year grace period. This right can only be exercised once.

    The loan agreement contains a series of obligations to be fulfilled by COPEINCA during the term of the loan. The most important obligations are summarized below. As a matter of fact, COPEINCA must:

    Open a collateral account with SunTrust Bank to directly deposit in said account all Steam Dried Fish-meal and Fishoil export collections. SunTrust Bank is responsible for transferring the amount of the monthly installment to Credit Suisse.

    Establish a trust fund with La Fiduciaria S.A. as custodian trustee. The trust estate will consist of nine-teen fishing vessels and five industrial plants.

    Report all relevant events concerning both the fishery sector and the company. Comply with affirmative and negative covenants�. Meet certain financial ratios that ensure continued improvement in the company´s activities. File quarterly and annual reports on the company´s performance and fulfillment of its obligations.

    Debt Profiling.- In September �005, COPEINCA pre-paid US$8,580 million of its debt, mainly its short-term debt, thus changing its financial structure and moving from �1% to 16% in the short term and from 79% to 84% in the long term.

    En el �005 el nivel de deuda ha tenido una tendencia creciente, pudiéndose observar tres periodos de creci-miento. El primero fue de 47% y ocurrió durante los meses de abril a junio. En este periodo se contrataron leasings y prestamos con proveedores del exterior para adquirir embarcaciones pesqueras y equipos de plantas.

    El segundo incremento ocurrió en agosto debido al primer desembolso de US$8 millones por parte del Credit Suisse.

    En setiembre, COPEINCA incrementó en 100% su nivel de deuda a consecuencia del segundo desembolso del Credit Suisse por US$�3 millones el cual fue el principal componente del incremento con respecto a agosto del �005 (70%). Adicionalmente, se asumió la deuda de la empresa Del Mar con el sistema financiero y COPEINCA financió la compra de tres embarcaciones pesqueras adicionales.

    El aumento del nivel de deuda en los meses de agosto y setiembre le ha permitido a COPEINCA incremen-tar su capacidad de producción de 340 tm/hr a 55� tm/hr así como la capacidad de bodega de 6,981m3 a 8,698m3.

    Préstamos con bancos locales.-Durante el �005 COPEINCA obtuvo financiamiento con la banca local por un total de US$10,180 millones3 aproximadamente.

    Estos financiamientos, leasings básicamente, sirvieron para adquirir cinco embarcaciones pesqueras, con una capacidad de bodega aproximada de 380 m3 cada una, así como para la construcción de una chata absorbente, la cual se encuentra ubicada en la planta de Chicama.

    During �004, the debt stayed relatively constant at US$16.5 million (average).

    In �005, the debt level increased, following an upward trend marked by three specific periods. The first one took place from April through June, when the debt level increased by 47% as a result of leasing and loan agreements with foreign suppliers for the purchase of fishing vessels and plant equipment.

    The second one took place in August as a result of the first disbursement of US$8 million by Credit Suisse.

    In September, COPEINCA’s indebtedness level increased by 100% as a result of a second disbursement by Credit Suisse in the amount of US$�3 million. This was the main reason behind the increase in debt levels with respect to August �005 (70%). In addition, the company assumed Del Mar’s debt to the financial system and funded the purchase of three additional fishing vessels.

    The August-September debt level increase allowed the company to raise its production capacity from 340 mt/hr to 55� mt/hr and further expand its hold capacity from 6,981 m3 to 8,698 m3.

    Loans from local banks.-During �005, COPEINCA obtained financing from local banks, totaling approximately US$10,180 million3.

    This financing, which consisted basically of financial leasing, helped buy five fishing vessels with an estimated hold capacity of 380 m3 each and build a flat barge for the Chicama plant.

  • Es importante destacar que COPEINCA continúa a la búsqueda de reducción de carga financiera, mejorando la generación de sus ingresos para hacer frente a sus obligaciones y elevar sus niveles de liquidez. Además, actualmente realiza acciones para mantenerse en una posición importante dentro del sector, conservando un buen nivel de competitividad.

    3.3. Logros Comerciales

    La estrategia de ventas en los últimos dos años ha priorizado el cumplimiento contractual de los compro-misos comerciales, así como del desarrollo de una relación comercial basada en las necesidades del cliente. Esto nos ha permitido conocer y seleccionar mejor a nuestros clientes, establecer programas de ventas a futuro y acceder a usuarios más integrados en la cadena de distribución.

    Asimismo, nuestra oferta exportable se incrementó con la adquisición de las empresas Del Mar S.A. y Pesca Perú Huarmey S.A., con lo cual alcanzó una distribución de 50% Fair Average Quality (FAQ) y 50% Steam Dried (SD) en la producción de harina de pescado en el �005.

    La evolución del perfil del producto harina de pescado ha significado para Copeinca replantear la estrategia con que se estaba comercializando la harina, de ser un producto básico canalizado por operadores tradi-cionales, a un producto más complejo de diferentes calidades, cada una con su propia dinámica de oferta y demanda, con usuarios e industrias más exigentes.

    3.3. Commercial Achievements

    Our sales strategy during the last two years has prioritized the contractual fulfillment of commercial commitments and development of commercial relations focused on customer needs. As a result, we have been able to better know and select our customers, establish future sales programs, and gain access to more integrated users in the distribution chain.

    Moreover, our export product supply increased with the purchase of Del Mar S.A. and Pesca Perú Huarmey S.A., with which we achieved 50% Fair Average Quality (FAQ) and 50% Steam Dried (SD) in fishmeal production in �005.

    As a result of the development of the fishmeal product profile, Copeinca restated its fishmeal marketing strategy development, from a basic commodity channeled through traditional traders to a more complex product with different qualities that have their own supply and demand dynamics and more demanding users and industries.

    3.4. Logros operacionales

    Capacidades

    A través de la incorporación, en el �005 de la importante flota de la empresa Del Mar y Langostino, el total de la capacidad de la flota de COPEINCA es de 8,700 m3, distribuidos en 30 embarcaciones de cerco, tres de las cuales cuentan con sistemas de preservación RSW (enfriamiento de agua de mar).

  • Las capacidades individuales de nuestras naves van desde 140 tm hasta 500 tm, lo que promedia unas 3�0 tm. Esto nos da una gran flexibilidad para operar en diferentes zonas.

    Adicionalmente mantenemos una flota de cinco naves arrastreras operativas, que trabajan exclusivamente el recurso merluza, y cuya cuota asignada representa el 11% del total del litoral.

    La capacidad de bodega para consumo humano indirecto (anchoveta) de COPEINCA representa alrededor del 4.�% de la capacidad total del Perú, lo que nos convierte en la quinta flota en cuanto a tamaño.
