Acuerdo

Este Acuerdo (este "Acuerdo") está realizado por y celebrado entre:

Korea Foundation (la "Fundación"), ubicada en 55 Sinjung-ro, Seogwipo-si, Jeju-do,

63565, República de Corea y

La Universidad Nacional de Colombia (la “Universidad”), ubicada en la Carrera 45 No. 26

- 85 Edificio Uriel Gutiérrez, Bogotá D. C. - Colombia.

En lo sucesivo, la Fundación y la Universidad podrán ser denominadas individualmente como una

"Parte" y colectivamente como las "Partes".

ANTECEDENTES

CONSIDERANDO, que la Fundación es una organización sin ánimo de lucro cuyo objetivo es

apoyar y promover los estudios coreanos en todo el mundo;

CONSIDERANDO que la Fundación desea apoyar el establecimiento de estudios coreanos en la

Universidad y desea enviar un profesor/conferencista visitante para impartir cursos relacionados

con Corea en la Universidad;

CONSIDERANDO que la Universidad desea establecer y proporcionar a sus estudiantes un

programa educativo relacionado con Corea e invitar al profesor/conferenciante visitante de acuerdo

con los términos y condiciones establecidos en este Acuerdo;

AHORA, POR LO TANTO, en consideración de las promesas mutuas y los pactos aquí

establecidos, las Partes acuerdan lo siguiente:

Artículo 1. Plazo

Este Acuerdo es efectivo desde el 1° de agosto de 2021 hasta el 31 de julio de 2023 (el "Plazo") a

menos que se ajuste o renueve por consentimiento mutuo por escrito.

Artículo 2. Profesor/Conferencista visitante

2-A La Universidad invitará a la Sra. Hyun Kyung como profesora visitante de idioma coreano (la

"Profesora visitante") y no le asignará más de 12 horas por semana para impartir cursos de

idioma coreano por semestre durante el Plazo (el "Proyecto"). a menos que se ajuste por

mutuo consentimiento por escrito.

2-B La Profesora Visitante impartirá los siguientes cursos durante cada año académico del Término:

2-C Si la información del curso que la Universidad ha presentado a la Fundación de conformidad

con el artículo 2-B anterior se modifica o renueva, la Universidad notificará a la Fundación tres

(3) semanas antes del inicio de cada semestre y obtendrá el consentimiento de la Fundación.

Artículo 3. Apoyo de la Fundación

La Fundación proporcionará directamente a la Profesora Visitante un pasaje aéreo de ida y vuelta,

un subsidio de subsistencia mensual y los fondos necesarios para adquirir materiales didácticos para

su docencia en la Universidad. Los detalles y montos de dicha ayuda se determinarán de acuerdo

con el acuerdo entre la Fundación y el Profesor Visitante.

Artículo 4. Obligaciones de la Universidad

4-A (Apoyo para Visa) La Universidad proporcionará a la Profesora Visitante todo el apoyo

administrativo y los documentos necesarios para que la Profesora Visitante pueda cumplir

legítimamente con sus obligaciones en virtud del presente. Dicho apoyo administrativo y

documentos incluirán, sin limitación, lo siguiente:

▪ Emitir una Carta de Invitación Oficial inmediatamente después de la selección por parte de

la Universidad de la Profesora Visitante entre los candidatos recomendados por la

Fundación;

▪ Proporcionar los documentos necesarios para que la Profesora Visitante lleve a cabo los

trámites para obtener una visa, certificado de residente y/o permiso de trabajo

correspondientes para asegurar su estadía legal en Colombia durante el Plazo; y

▪ Proporcionar cualquier otro apoyo que sea razonablemente necesario para lograr el

propósito de este Acuerdo.

4-B (Apoyo a la enseñanza) La Universidad proporcionará a la Profesora Visitante los siguientes

recursos para el correcto funcionamiento de los cursos de idioma coreano:

▪ Espacio de oficina;

▪ Permiso de uso de la biblioteca;

▪ Computadora u otros materiales necesarios para preparar y enseñar la clase;

▪ Cualquier otro recurso que sea razonablemente necesario para lograr el propósito de este

Acuerdo.

4-C La Universidad designará al Dr. Carlos Guillermo Páramo Bonilla, decano de la Facultad de

Ciencias Humanas como director del proyecto (el “Director del Proyecto”), quien tendrá

derecho a tomar decisiones sobre el programa de estudios coreanos y será responsable de la

gestión general del Proyecto en la Universidad, incluyendo la presentación del Informe del

Proyecto (el “Informe del Proyecto”) establecido en el Artículo 4-D. El Director del Proyecto

también asistirá al Profesor Visitante con todo el apoyo administrativo relacionado establecido

anteriormente en los Artículos 4-A y 4-B anteriores, y proporcionará consultas para la

implementación exitosa del Proyecto.

4-D (Evaluación e Informe) Dentro de los diez (10) días posteriores al final de cada semestre

durante el Plazo, la Universidad deberá presentar un Informe del Proyecto, de acuerdo con el

formulario de informe estándar de la Fundación que detalla, sin limitación, lo siguiente:

▪ Desempeño instruccional con respecto a los cursos asignados;

▪ Interacción personal con estudiantes y otros miembros de la facultad;

▪ Contribuciones al avance del programa de estudios coreanos en la Universidad;

▪ Contribuciones a la promoción general de Corea en Colombia;

▪ Información sobre los cursos del profesor visitante del siguiente semestre; y

▪ Evaluación de cursos individuales por parte de los estudiantes de acuerdo con un formulario

separado que pueda ser requerido por la Fundación.

4-E La Universidad acuerda que, en cualquier momento durante el Plazo, si la Fundación a su

discreción determina que la Universidad no cumplió con las obligaciones establecidas en los

Artículos 4-A a 4-D anteriores, la Fundación podrá suspender o ajustar el apoyo del Proyecto a

continuación con previo aviso.

Artículo 5. Aplazamiento o cancelación

5-A La Universidad entiende y acepta que el Proyecto puede ser cancelado en caso de que

▪ La Fundación haya realizado una búsqueda a nivel nacional, pero no reciba solicitudes; o

▪ La Fundación haya realizado una búsqueda a nivel nacional, pero no haya podido identificar

a ningún candidato que sea apto para lograr el objetivo de la Fundación de apoyar y

promover los estudios coreanos.

5-B En caso de aplazamiento o cancelación del Proyecto antes de la llegada de la Profesora

Visitante a la Universidad, la Universidad notificará sin demora a la Fundación su intención de

aplazar o cancelar el Proyecto.

5-C En el caso de que el Proyecto sea cancelado o pospuesto, debido a una causa imputable a la

Universidad incluyendo, sin limitación, el incumplimiento de las obligaciones establecidas

anteriormente en los Artículos 4-A a 4-D, la Universidad entiende y acepta que la Fundación

podrá, a su discreción, otorgar a la Universidad ciertas desventajas cuando la Universidad

solicite futuros programas de la Fundación.

Artículo 6. Reconocimiento

La Universidad acepta señalar en todos los anuncios públicos y publicaciones pertinentes que los

cursos de idioma coreano del profesor visitante se ofrecen con la asistencia de la Fundación.

Artículo 7. No discriminación

Cada parte acuerda no discriminar a ninguna persona por motivos de raza, color, credo religioso,

edad, estado civil, nacionalidad, ascendencia, sexo, identidad o expresión de género, orientación

sexual, discapacidad intelectual, discapacidad mental o discapacidad física, incluyendo, pero no

limitado a, ceguera, a menos que sea demostrado por la parte, que busca discriminar a una persona,

que tal discapacidad impide que la persona discriminada realice el trabajo involucrado.

Artículo 8. Adendas y Fuerza mayor

8-A Este Acuerdo constituye el entendimiento completo entre las Partes sobre el tema del mismo.

Ninguna modificación o renuncia a cualquier disposición del presente será válida a menos que

se acuerde por escrito y esté firmada por las Partes.

8-B La Universidad reconoce que la Fundación puede, previo aviso, a su entera discreción,

suspender temporal o permanentemente el Proyecto en caso de que ocurra una "fuerza mayor",

incluyendo cualquier evento más allá del control razonable de cualquiera de las Partes, como

guerra, compromiso de hostilidad, huelga, orden del gobierno, crisis económica severa u otros

eventos similares inesperados y/o imprevistos que resulten en la incapacidad de cualquiera de

las Partes para cumplir con sus obligaciones en virtud del presente.

Artículo 9. Ley aplicable y Resolución de disputas

9-A En caso de desacuerdo, las Partes se esforzarán por resolver su disputa de manera amistosa.

Si no se puede llegar a un acuerdo, cualquiera de las partes puede rescindir legalmente el acuerdo en

caso de incumplimiento por la otra parte de una o más obligaciones en virtud de sus diversas

cláusulas.

Este Acuerdo se ejecutará únicamente en inglés y prevalecerá sobre cualquier traducción del mismo.

Las Partes abajo firmantes aceptan los términos y condiciones anteriores.

Agreement

This Agreement (this “Agreement”) is made and entered into by and between:

The Korea Foundation (the “Foundation”), located at 55 Sinjung-ro, Seogwipo-si, Jeju-do,

63565, Republic of Korea and

The Universidad Nacional de Colombia (the “University”), located at Carrera 45 No. 26 –

85 Edificio Uriel Gutiérrez, Bogotá D. C. – Colombia.

The Foundation and the University may hereinafter be referred to individually as a “Party” and

collectively as the “Parties.”

RECITALS

WHEREAS, the Foundation is a non-profit organization with its aim at supporting and promoting

Korean studies across the world;

WHEREAS, the Foundation desires to support establishment of Korean studies at the University,

and desires to dispatch a visiting professor/lecturer to teach Korea-related courses at the University;

WHEREAS, the University desires to establish and provide to its students such Korea-related

education program, and to invite the visiting professor/lecturer in accordance with the terms and

conditions set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual promises and covenants set forth herein, the

Parties agree as follows:

Article 1. Term

This Agreement is effective from August 1, 2021 through July 31, 2023 (the “Term”) unless

adjusted or renewed by mutual consent in writing.

Article 2. Visiting Professorship/Lectureship

2-A The University shall invite Ms. Hyun Kyung as a visiting professor of Korean language (the

“Visiting Professor”) and will assign her no more than 12 hours per week to teach Korean

language courses per semester during the Term (the “Project”), unless adjusted by mutual

consent in writing.

2-C If the course information the University has submitted to the Foundation in accordance with

Article 2-B above shall be adjusted or renewed, the University shall notify the Foundation three

(3) weeks before the start of each semester and obtain the Foundation’s consent.

Article 3. The Foundation’s Support

The Foundation shall directly provide the Visiting Professor with a round-trip airfare, a monthly

living allowance, and the funds needed to acquire teaching materials for her teaching at the

University. The details and amounts of such support shall be determined in accordance with the

agreement between the Foundation and the Visiting Professor.

Article 4. The University’s Obligations

4-A (Support for Visa) The University shall provide the Visiting Professor with all necessary

administrative support and documents to enable the Visiting Professor to legitimately perform

her obligations hereunder. Such administrative support and documents shall include, without

limitation, the following:

▪ Issue an Official Invitation Letter immediately following the University’s selection of the

Visiting Professor from among the candidates whom the Foundation has recommended;

▪ Provide the necessary documents for the visiting professor to carry out the procedures

obtains an appropriate visa, resident certificate and/or work permit to secure her lawful

stay in Colombia during the Term; and

▪ Provide any other support that is reasonably necessary to achieve the purpose of this

Agreement.

4-B (Support for Teaching) The University shall provide the Visiting Professor with the following

resources for proper operation of the Korean language courses:

▪ Office space;

▪ Library usage permit;

▪ Computer or other required materials to prepare and teach the class;

▪ Any other resources that is reasonably necessary to achieve the purpose of this Agreement.

4-C The University shall appoint Dr. Carlos Guillermo Páramo Bonilla, dean of the Human

Sciences Faculty as a project director (the “Project Director”), who shall be entitled to make

decisions regarding the Korean studies program and shall be responsible for the overall

management of the Project at the University, including the submission of the Project report

(the “Project Report”) set forth in Article 4-D. The Project Director shall also assist the

Visiting Professor with all related administrative support set forth above in Articles above 4-A

and 4-B, and provide consultation for the successful implementation of the Project.

4-D (Evaluation and Report) Within ten (10) days after the end of each semester during the Term,

the University shall submit a Project Report, in accordance with the Foundation’s standard

report form that details, without limitation, the following:

▪ Instructional performance in regard to the assigned courses;

▪ Personal interaction with students and other faculty members;

▪ Contributions to the advancement of Korean Studies program at the University;

▪ Contributions to the overall promotion of Korea in Colombia;

▪ Information on the Visiting Professor’s courses of the following semester; and

▪ Evaluation of individual courses by the students in accordance with a separate form as may

be required by the Foundation.

4-E The University agrees that, at any time during the Term, if the Foundation at its discretion

determines that the University failed to comply with the obligations set forth in Articles 4-A

through 4-D above, the Foundation may suspend or otherwise adjust the support of the Project

hereunder with prior notice.

Article 5. Postponement or Cancellation

5-A The University understands and agrees that the Project may be cancelled in the event that

▪ The Foundation has conducted a nation-wide search yet receives no applications; or

▪ The Foundation has conducted a nation-wide search yet is unable to identify any candidate

who is suitable to achieve the Foundation’s goal of supporting and promoting Korean

studies.

5-B In the event of the postponement or cancellation of the Project before the Visiting Professor’s

arrival at the University, the University shall promptly notify the Foundation of its intent to

postpone or cancel the Project.

5-C In the event the Project is cancelled or postponed, due to a cause attributable to the University

including, without limitation, any failure to carry out the obligations as set forth above in

Articles 4-A through 4-D, the University understands and agrees that the Foundation may, at

its discretion, give the University certain disadvantages when the University applies for future

programs of the Foundation.

Article 6. Recognition

The University agrees to note in all relevant public announcements and publications that the

Visiting Professor’s Korean language courses are offered with assistance from the Foundation.

Article 7. Nondiscrimination

Each party agrees not to discriminate against any person on the basis of race, color, religious creed,

age, marital status, national origin, ancestry, sex, gender identity or expression, sexual orientation,

intellectual disability, mental disability or physical disability, including, but not limited to,

blindness, unless it is shown by the party, which seeks to discriminate a person, that such disability

prevents the discriminated person from performing the work involved.

Article 8. Amendments and Force Majeure

8-A This Agreement constitutes the complete understanding between the Parties on the subject

hereof. No modification or waiver of any provision hereof shall be valid unless agreed upon in

writing and signed by the Parties.

8-B The University acknowledges that the Foundation may, prior notice, at its sole discretion,

suspend either temporarily or permanently the Project in the event of an occurrence of “force

majeure,” including any event beyond any Party’s reasonable control, such as war, engagement

of hostility, strike, government order, severe economic crisis, or other similar unexpected

and/or unforeseen events resulting in any Party’s inability to meet its obligations hereunder.

Article 9. Governing Law and Dispute Resolution

9-A In the event of disagreement, the Parties shall endeavour to settle their dispute amicably. If

a settlement cannot be reached, the agreement may be legally terminated by either party in the event

of default by the other party of one or more obligations under its various clauses.

This Agreement shall be executed in the English language only, and shall prevail over any

translation thereof.

The undersigned Parties agree to the foregoing terms and conditions.
